Terms of Sale
These Terms of Sale (the “Terms”) govern the subscription to and use of the paid offers of the Seocreo service. They complement the Terms of Service, which remain applicable.
1. Parties
The sale relationship involves three parties:
- The Service Operator — the natural person identified in the Legal Notice, who designs and technically operates the Seocreo service.
- The Seller / Merchant of Record — Whop, Inc. (300 Kent Ave #401, Brooklyn, NY 11249, USA), Merchant of Record for payment and tax purposes: collects payments, collects and remits applicable taxes (VAT, sales tax) in the jurisdictions covered by its tax registrations, and issues receipts. Whop is not the provider of the service.
- You, the Customer — the natural or legal person who subscribes to a plan or purchases credits.
By placing an order, you accept these Terms of Sale, the Whop Terms of Service, and Whop's buyer terms applicable to the payment. In case of contradiction on matters of payment, billing or taxes, Whop's terms prevail.
2. Description of offers
The Seocreo service is offered as time-limited plans (monthly or annual), granting access to a defined number of monthly credits, a number of projects, a maximum article length, and a set of features. The up-to-date details of each plan (Free, Starter, Pro, Agency) are available on the pricing page.
Additional credits can also be purchased outside a subscription (“one-time credits”) and remain usable as long as the account is active.
3. Prices
Prices displayed on the site are in US dollars (USD), inclusive of taxes. Whop, acting as Merchant of Record for payment and tax purposes, calculates the applicable tax portion (VAT, sales tax, GST/HST) based on the buyer's country of residence, within the jurisdictions covered by its tax registrations (United States, European Union, United Kingdom). The tax is collected and remitted by Whop to the competent tax authorities. For regions outside this coverage, no tax is applied by Whop; the buyer remains responsible for their own local tax situation. The final amount is confirmed before order validation.
An annual price is offered for most plans, with a discount displayed on the pricing page.
4. Ordering process
Orders are placed online through the Whop interface:
- you select a plan on the pricing page,
- you are redirected to Whop's secure form,
- you enter your billing and payment information,
- you confirm the order. Confirmation constitutes acceptance of these Terms of Sale and of Whop's Terms of Service.
- you receive a confirmation email containing your invoice.
5. Payment
Payments are processed by Whop. Accepted payment methods include credit cards (Visa, Mastercard, American Express), PayPal, Apple Pay and Google Pay. The Operator does not store any credit card data. All transactions are secured and end-to-end encrypted.
6. Invoices
Payment receipts are issued automatically by Whop after each successful transaction. They are accessible at any time from your Whop account, or can be found via the link in the confirmation email. To comply with tax requirements of your country, you must provide a complete billing address.
7. Duration and automatic renewal
7.1 Monthly subscription
The subscription is entered into for a term of one (1) month, automatically renewed at each expiration, unless cancelled.
7.2 Annual subscription
The subscription is entered into for a term of twelve (12) months, automatically renewed at each expiration, unless cancelled.
7.3 Renewal reminder
A reminder email before each renewal may be sent to you, depending on the settings of your country of residence and applicable legal obligations.
7.4 Plan change during an active subscription
You can change plan at any time from your customer area. Terms vary depending on the type of change:
- Upgrade. You immediately pay the price difference between the old and the new plan. The corresponding additional credits are credited to your account instantly. The new plan is billed at the full rate at the next renewal.
- Switch from monthly to annual. You immediately pay the difference between the total annual price of the new plan and the monthly price of the current plan. The current monthly period is preserved, and eleven (11) months of annual validity are added. If the new plan includes more monthly credits, the difference is credited instantly.
- Downgrade. No immediate payment is required. You keep access to your current plan until the end of the paid period in progress. The new (lower-cost) plan is automatically applied and billed at the next renewal.
8. Cancellation by the Customer
You may cancel your subscription at any time from your customer area, Billing section. Cancellation takes effect at the end of the paid period in progress. No pro-rata refund is made for the remaining period — you retain access until the end date. No further renewal occurs.
9. Credits — usage, expiration, refund
- Subscription credits — renewed at each billing cycle. Unused credits are not carried over to the next cycle.
- Gift credits — 10 credits granted to every new account (paid or free) upon sign-up, valid for 30 days and usable within the limits of the active plan.
- Extra credits (outside subscription) — purchasable per unit, reserved for paid plans, can be combined with subscription credits, with no expiration date as long as the account remains active.
- Consumption order — credits that expire the soonest (subscription or gift credits, based on their expiration date) are consumed first. Extra purchased credits are used last.
- Non-convertible — credits, in any form, are neither convertible into money nor transferable to another account. Cases of credit refund are detailed in article 11.
10. Right of withdrawal
For consumers residing in the European Union, the 14-day right of withdrawal provided by European consumer law applies to digital services. However, this right is deemed lost upon effective use of the service, in accordance with Article 16(m) of Directive 2011/83/EU. By placing an order and accessing the service, you expressly consent to immediate performance and waive your right of withdrawal.
For other regions, your right of withdrawal depends on the laws applicable to your place of residence. The refund policy described in Article 11 remains applicable in all cases.
11. Refund policy
11.1 No trial period
The Operator does not offer a traditional trial period. Discovery of the Service is enabled via the 10 gift credits granted on sign-up (valid for 30 days), offered to every new account, paid or free.
11.2 No monetary refunds
Payments made through Whop do not give rise to any monetary refund from the Operator, subject to cases provided for by mandatory consumer law (see also article 10 on the right of withdrawal).
11.3 Refund in credits
A refund in the form of credits is granted only in the event of a technical issue attributable to the Operator (Service unavailability, generation failure, identified bug). The Operator has an automatic detection system that re-credits the affected credits without any action from the user. If you notice that a credit consumed during a technical incident has not been re-credited, contact support@seocreo.com within thirty (30) days of the incident.
11.4 Cases explicitly not refundable
No refund, monetary or in credits, is granted in the following cases:
- credit consumed for an invalid input (keyword with no search volume, outside the target market, in another language, or of an unreadable nature);
- generation result deemed unsatisfactory qualitatively (the Operator guarantees no SEO result — see Terms of Service article 6.3);
- unused monthly credits at the end of a cycle;
- partial use of a paid period in case of cancellation during a cycle (see article 8);
- change of mind after order validation.
11.5 Whop policy and chargebacks
Whop, as Merchant of Record for payment, may initiate a refund at its discretion, in particular to prevent a chargeback. Standard refund decisions remain the Operator's initiative (see 11.3 and 11.4). Chargebacks filed with the buyer's bank are handled through Whop's Resolution Center; any dispute fees (approximately USD 15 per case) are borne by the Operator. Manifest abuse of the chargeback process may result in immediate account suspension.
11.6 Payment disputes (chargeback)
In case of a payment dispute (chargeback) with your bank or card issuer, access to the Service may be suspended or terminated immediately.
12. Modification of offers and prices
The Operator may modify the composition, features or prices of offers. Any unfavorable modification applicable to a current subscriber is notified by email at least thirty (30) days before it takes effect. You may then cancel your subscription at no cost before the new terms apply.
13. Suspension and discontinuation of the Service
The cases of suspension and termination initiated by the Operator, as well as the terms of Service discontinuation, are described in Article 9 of the Terms of Service, to which reference is made to avoid redundancy.
14. Liability
The liability regime applicable to the Service, including the liability cap and the absence of SEO result guarantee, is described in Article 13 of the Terms of Service.
15. Personal data
The processing of your personal data in the context of the sale (billing address, transaction history, card data handled by Whop) is described in the Privacy Policy.
16. Governing law and disputes
These Terms of Sale are governed by Tunisian law, without prejudice to mandatory consumer-protection provisions in the buyer's country of residence. Whop's terms are governed by the laws of the State of New York (United States), as defined in their own terms.
Any dispute with the Operator must first be brought to their attention at support@seocreo.com for an attempt at amicable resolution. Failing agreement within thirty (30) days, the dispute will be brought before the competent courts of Tunis, subject to mandatory jurisdiction rules protecting consumers. Disputes specifically about payment, billing or taxes must be addressed to Whop via its Resolution Center.
